3. ELIGIBILITY AND BUSINESS USE

By using the Website you represent that:

You are at least 18 years old or the legal age of majority in your jurisdiction
You have authority to bind any organization you represent
Your use complies with applicable laws in your jurisdiction

3.1 Business Use

The Website and Services are intended primarily for professional and business use.

Where permitted by law, you confirm you are acting in the course of business rather than as a consumer.

Where mandatory consumer protection laws apply, they will prevail over conflicting provisions of these Terms.

4. WEBSITE USE LICENSE

videos, graphics, and written content
courses and educational programs

These materials are protected under:

The structure, sequencing, scoring systems, facilitation methods, and architecture of these methodologies constitute proprietary trade secrets.

Users and clients may not:

replicate the methodologies
build derivative consulting frameworks
train third parties using the systems
commercialize or license them

7. LIMITED CLIENT LICENSE

Where workshop materials, diagnostics, playbooks, or reports are provided to clients, CoExecute OÜ grants a limited, non-exclusive, non-transferable license to use such materials internally within the client organization.

This license does not permit:

redistribution outside the organization
commercial resale
training third parties
publication or public distribution

All intellectual property rights remain with CoExecute OÜ.

8. PROHIBITED CONDUCT

You agree not to:

violate applicable laws
infringe intellectual property rights
scrape or automate Website access
introduce malicious code
misrepresent your identity
interfere with Website security
circumvent access controls or subscription systems

9. DATA PROTECTION AND PRIVACY

Processing of personal data is governed by our Privacy Policy.

Where applicable, data protection laws include:

We do not guarantee:

revenue growth
operational improvements
profitability
valuation increases
business success

Results depend on many factors beyond our control including market conditions, leadership capability, execution quality, competition, regulation, and macroeconomic conditions.

11. USER RESPONSIBILITY

You are solely responsible for:

business decisions based on our materials
regulatory compliance in your jurisdiction
tax reporting obligations
legal compliance

AndExecute does not provide legal, accounting, tax, or investment advice.

12. WARRANTIES DISCLAIMER

To the fullest extent permitted by law, the Website and Services are provided “AS IS” and “AS AVAILABLE.”

We disclaim all warranties including:

13. LIMITATION OF LIABILITY

To the maximum extent permitted by law, CoExecute OÜ, its directors, employees, contractors, affiliates, and agents shall not be liable for:

Total liability shall not exceed the greater of:

EUR 1,000 or the fees paid by you to AndExecute during the 30 days preceding the claim.

14. INTERNATIONAL USERS AND SANCTIONS

Users must comply with:

EU sanctions regulations
U.S. export control laws
financial restrictions in their jurisdiction

15. DISPUTE RESOLUTION

These Terms are governed by the laws of Estonia.

Arbitration

Business users agree that disputes will be resolved through binding arbitration.

Arbitration will follow the rules of the Estonian Chamber of Commerce and Industry or another mutually agreed institution.

Injunctive Relief

Nothing prevents CoExecute OÜ/ AndExecute from seeking court relief to protect:

intellectual property
confidential information
Website security

16. INDEMNIFICATION

You agree to indemnify and hold harmless CoExecute OÜ from claims arising from:

misuse of Services
breach of these Terms
regulatory violations
infringement of third-party rights

CoExecuteOÜ / AndExecute complies with applicable EU copyright directives and the U.S. Digital Millennium Copyright Act (DMCA) where applicable.

18. TERMINATION

We may suspend or terminate access if:

19. FORCE MAJEURE

AndExecute is not liable for delays caused by events beyond reasonable control including:

war
cyberattacks
infrastructure failures
government restrictions

20. ASSIGNMENT

CoExecute OÜ may assign these Terms in connection with:

corporate restructuring
mergers
asset transfers

Users may not assign rights without written consent.

21. SEVERABILITY

If any provision is found invalid, remaining provisions remain enforceable.

22. ENTIRE AGREEMENT

These Terms and the Privacy Policy constitute the entire agreement between users and CoExecute OÜ / AndExecute.
