COPYRIGHT POLICY AND NOTICE & TAKEDOWN PROCEDURE

1. INTRODUCTION

CoExecute OÜ, operating under the brand AndExecute (“AndExecute,” “we,” “us,” or “our”), respects intellectual property rights and expects users of our Website and Services to do the same.

All content made available through our websites, platforms, diagnostics, frameworks, workshops, programs, and materials (collectively, the “Services”) is protected under:

• Estonian intellectual property law
• European Union copyright law
• United States Copyright Act, including the Digital Millennium Copyright Act (DMCA), 17 U.S.C. §512
• international treaties including the Berne Convention and WIPO Copyright Treaty

2. OWNERSHIP OF CONTENT

Unless otherwise stated, all content published through AndExecute and owned by CoExecute OÜ is protected by copyright, trademark, and related intellectual property laws.

This includes, but is not limited to:

• written materials
• frameworks and methodologies
• diagnostics and assessments
• strategic models and execution systems
• graphics and visual materials
• logos and brand elements
• audio and video materials
• workshop content and presentations
• reports, playbooks, and templates
• courses and training materials
• digital tools and proprietary systems

This protection extends to the proprietary systems developed by CoExecute OÜ, including:

• RACE™ Operating Model / RACE™ Operating System / RACE™ OS
• ClarityLab™
• ExecutiveRewire™
• All-In-Planning™
• SignalCheck™
• ProofCheck™

• VisionSync360™
• RACE Business Diagnostics™

The architecture, structure, sequencing, scoring systems, facilitation methods, and execution models underlying these systems constitute proprietary intellectual property of CoExecute OÜ.

Unauthorized reproduction, redistribution, modification, scraping, reverse engineering, republication, or commercial use is strictly prohibited.

3. REPORTING COPYRIGHT INFRINGEMENT

If you believe that material available through our Services infringes your copyright, you may submit a written notice containing the following information:

  1. Identification of the copyrighted work claimed to have been infringed.

  2. Identification of the allegedly infringing material, including sufficient information for us to locate it (such as a URL or specific location).

  3. Your name, address, telephone number, and email address.

  4. A statement that you have a good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law.

  5. A statement that the information in your notice is accurate and, where applicable, under penalty of perjury that you are the copyright owner or authorized to act on behalf of the copyright owner.

  6. Your physical or electronic signature.

4. COUNTER-NOTIFICATION (DMCA)

If you believe material was removed or disabled as a result of mistake or misidentification, you may submit a counter-notification containing:

• identification of the material removed and its previous location
• a statement under penalty of perjury that you believe the material was removed due to mistake or misidentification
• your name, address, telephone number, and email address
• a statement consenting to jurisdiction of the appropriate court (where applicable)
• your physical or electronic signature

Upon receipt of a valid counter-notification, we may restore the material unless the original claimant files legal action within the statutory period.

5. EUROPEAN UNION COPYRIGHT COMPLIANCE

For users located within the European Union, AndExecute complies with applicable provisions of the:

Directive (EU) 2019/790 on Copyright in the Digital Single Market

and related national implementing laws.

Where appropriate, we will:

• review infringement notices promptly
• remove or disable access to infringing material
• allow users to contest claims where permitted by law

6. REPEAT INFRINGERS

We reserve the right to:

• suspend or terminate access to users who repeatedly infringe intellectual property rights
• remove access to Services or content
• pursue legal remedies where appropriate

7. FALSE OR MISLEADING CLAIMS

Submitting knowingly false or misleading copyright infringement notices may result in liability under applicable law, including damages, legal costs, and penalties.

8. INTERNATIONAL ENFORCEMENT

Because AndExecute operates globally, CoExecute OÜ reserves the right to enforce its intellectual property rights in any jurisdiction where infringement occurs, including but not limited to:

• Estonia
• European Union member states
• United States
• Asia-Pacific jurisdictions

Legal remedies may include injunctive relief, damages, and recovery of legal costs.
